Board of Directors Meeting, March 5, 1953 6
Dr. Rudolph--I think in the meantime, if we are going on these By-Laws, why do we not go ahead and recommend him for Honorary Membership? If he does leave, there will be a replacement.
Dr. Harry Thompson--Why are they so anxious?
Dr. Rudolph--The Committee did the suggesting. Here is something else I just ran across "Agreements and schedules of fees shall not be made by this Society, but at one meeting during each year shall be set aside for discussion of the business and ethical affairs of the Profession, etc."
Dr. Hayden--Our attorney told us when we drew up By-Laws to be sure and put that in because otherwise the organization could be regarded as a sort of trust that everybody be charged a standard fee for everything.
Dr. Rudolph--Could we not tell him that our By-Laws state this?
Dr. Manning--On this By-Laws business, we wont' be able to vote on this then until October?
Dr. Hill--I move we invite Dr. Olean as our guest until such time as we classify his membership.
Dr. Rudolph--We are going to recommend to the Board of Directors of the Red Cross that he be a member of this Society, and he is not going to be willing to pay a membership, so the local Red Cross will probably pay his dues.
Dr. Bernstein to Dr. Rudolph--You are going to make recommendations without going through the Board of Directors?
Dr. Rudolph--We are going to make recommendations to the Board of the American Red Cross that the Director of the Blood Bank belong to the Medical Society.
Dr. Kent seconded Dr. Hill's motion.
Motion carried.
Dr. Manning to Dr. Hayden--I would like very much it you could get the By-Laws material ready by the April meeting so that everything may be clarified and we will not have a jam up of work in the Fall.
Dr. Hayden--I have been doing the best I can, Bill.
Meeting adjourned.
